2. Scope and Acceptance
These Terms & Conditions apply to all orders placed through VilasParts.com. By submitting an order, the customer confirms that the information provided is accurate, that they are legally capable of entering into a contract, and that they accept these terms together with the Privacy Policy, Shipping & Payment information, Returns Policy and Customs & Duties information.
3. Product Information
We make reasonable efforts to describe products accurately and display clear photographs. Unless expressly stated otherwise, product photographs show the actual item offered for sale. Minor colour differences may occur because of lighting, photography or display settings.
Used parts may show signs of normal prior use, storage or handling. Such signs are not considered defects when they are visible in the photographs or described in the product listing. Included components are limited to what is shown or expressly stated in the listing.
4. Vehicle Compatibility and Installation
The customer is responsible for confirming that a part is suitable for the specific vehicle, configuration and intended use before purchasing. Matching a model name alone may not guarantee compatibility because equipment, production dates, software, wiring, regional specifications and option codes can differ.
Where necessary, installation, coding, calibration, adaptation or component protection removal must be performed by a qualified professional. VilasParts is not responsible for damage caused by incorrect installation, coding, handling, modification or use.
5. Prices and Taxes
Prices are shown in the currency displayed on the website and include or exclude VAT as indicated at checkout or on the invoice. Shipping charges, import duties, customs charges and other destination-specific fees are shown separately where applicable. Prices may change without prior notice, but changes do not affect orders already accepted.
6. Order Placement and Contract Formation
Submitting an order constitutes an offer to purchase. An automated order confirmation acknowledges receipt but does not necessarily constitute acceptance. The sales contract is formed when payment is accepted and the order is confirmed for fulfilment or dispatched.
We reserve the right to refuse or cancel an order in cases including pricing or stock errors, suspected fraud, payment failure, legal restrictions, shipping limitations or an obvious mistake in the listing. If payment has already been received, it will be refunded.
7. Payment
Available payment methods are displayed at checkout and may include PayPal, payment cards and bank transfer. Orders are not dispatched until payment has been successfully received or confirmed. Payment processing may be performed by third-party payment providers under their own terms and privacy notices.
8. Dispatch and Delivery
Orders are normally dispatched on the same or next business day. Delivery times shown on the website are estimates and are not guaranteed. Delays may occur because of customs clearance, carrier disruption, public holidays, severe weather, incorrect delivery details or other circumstances outside our reasonable control.
The customer must provide a complete and accurate delivery address and contact details. Additional shipping costs arising from an incorrect address, refused delivery or failure to collect a parcel may be charged to the customer where legally permitted.
9. Customs, Import Duties and DDP
For deliveries outside the European Union, import duties, taxes and customs charges are normally the customer’s responsibility unless a Delivered Duty Paid (DDP) service has been expressly agreed before purchase. Customs rules vary by destination. Further information is provided on the Customs & Duties page.
10. Consumer Right of Withdrawal
Where EU consumer law applies, a consumer may withdraw from an eligible online purchase within 14 days after receiving the goods without giving a reason. To exercise this right, the consumer must send a clear statement of withdrawal before the period expires.
After notifying us, the consumer must return the goods without undue delay and no later than 14 days from the notification. Unless otherwise agreed or required by law, the consumer bears the direct cost of returning the goods.
The consumer may inspect the goods only as they would in a physical shop. The consumer may be responsible for any reduction in value caused by handling beyond what is necessary to establish the nature, characteristics and functioning of the goods.
11. Refunds Following Withdrawal
Eligible refunds are issued using the original payment method unless otherwise agreed. We may withhold reimbursement until the returned goods are received or the customer provides evidence that they have sent them back. Where required by law, the cost of the least expensive standard delivery option will be reimbursed; additional express-delivery costs are not reimbursed.
12. Exceptions to the Right of Withdrawal
The statutory right of withdrawal may not apply to goods made to the customer’s specifications, clearly personalised goods, sealed goods that cannot be returned for health or hygiene reasons once unsealed, or other categories excluded by applicable law. This does not affect rights relating to defective or non-conforming goods.
13. Return Condition and Security Markings
Returned goods must be securely packaged and include all components supplied. Products may carry unique identification labels, security markings and recorded serial numbers. These are used to verify that the returned product is the same item supplied. Removing or altering a marking does not remove statutory consumer rights, but it may prevent verification of the item or affect the assessment of diminished value where relevant.
14. Defective, Damaged or Incorrect Goods
If an item arrives damaged, is incorrect or does not conform to the contract, the customer should contact us promptly and provide the order number, photographs and a description of the issue.
Mandatory consumer rights remain unaffected. Depending on the circumstances and applicable law, an appropriate remedy may include repair, replacement, price reduction or refund. Reasonable return costs for a confirmed defective or incorrect item are borne by the seller where required by law.
15. Legal Guarantee
Consumers benefit from the mandatory legal guarantee applicable under EU and national law. For second-hand goods, any lawfully permitted shorter guarantee period applies only where it has been expressly agreed with the consumer. Nothing in these terms limits rights that cannot legally be excluded.
16. Business Customers
Customers purchasing wholly or mainly for business, trade or professional purposes are not treated as consumers. Consumer-specific withdrawal rights and protections may therefore not apply to business purchases. Any separate written agreement with a business customer takes priority over these general terms.
17. Limitation of Liability
Nothing in these terms excludes or limits liability where such exclusion is prohibited by law, including liability for fraud, wilful misconduct, death or personal injury caused by negligence, or mandatory consumer rights.
To the extent permitted by law, VilasParts is not liable for indirect or consequential losses, loss of profit, loss of business, vehicle downtime, installation costs or damage arising from incorrect compatibility assessment, improper installation, coding, modification or use of the product.
18. Intellectual Property
Website content, product photographs, text, graphics, branding and layout are owned by or licensed to VilasParts and may not be copied, reproduced, distributed or commercially used without prior written permission.
19. Personal Data
Personal data is processed in accordance with the VilasParts Privacy Policy. Payment, hosting, delivery, analytics and communication providers may process data where necessary to provide their services.
20. Force Majeure
We are not responsible for delay or failure caused by events outside our reasonable control, including carrier disruption, customs action, strikes, war, civil disturbance, natural disasters, severe weather, epidemics, cyber incidents, utility failures or government restrictions.
21. Changes to These Terms
We may update these Terms & Conditions when necessary. The version in force at the time an order is placed applies to that order. The current version and update date will be published on this page.
22. Governing Law and Disputes
These terms are governed by the laws of the Republic of Lithuania, without depriving consumers of mandatory protections granted by the law of their country of residence where applicable.
Customers are encouraged to contact us first so that any issue can be resolved directly. Consumers may also have the right to contact the relevant national consumer protection authority or use other legally available dispute-resolution procedures.
